Mr. Wexler concentrates his practice in the areas of corporate, securities, and banking and financial institutions law.

Corporate Law

Mr. Wexler represents public and private corporations, particularly in the areas of capital formation transactions and mergers and acquisitions.  He has participated in numerous financing transactions, including the public and private placement of debt and equity securities, debt financing obtained from bank and other institutional lenders, joint venture and restructuring transactions, and venture capital investments.  Mr. Wexler has participated in numerous mergers and acquisitions, tender offers, sales of subsidiaries and divisions, and regularly advises Boards of Directors of public and private companies in corporate governance matters.

Securities Law

Mr. Wexler represents issuers and underwriters in public offerings of both debt and equity securities, including initial public offerings.  He also represents issuers in the private placement of their securities.  Mr. Wexler regularly advises public companies on disclosure requirements, takeover defense mechanisms and proxy matters.

Banking and Financial Institutions

Mr. Wexler, a former general counsel for a large, publicly held financial institution, represents banking and other financial institutions in areas ranging from corporate and securities transactions to regulatory and compliance advice, including resolution of regulatory matters.
