Mr. Gibson concentrates his practice in employee benefits, retirement and estate planning, and general taxation matters. He has experience with counseling clients with regard to qualified and non-qualified retirement plans, executive compensation matters, including long-term omnibus incentive and stock option plans, and health and welfare plan issues including COBRA and HIPAA. Mr. Gibson's employee benefits practice focuses on plan design and regulatory compliance for public, private and tax-exempt entities. He also regularly represents clients in connection with Internal Revenue Service and Department of Labor audits and investigations and assists plan sponsors with remedial correction programs. Mr. Gibson is also a member of the firm's multi-disciplinary ESOP team, and has structured, implemented and executed complex corporate transactions involving ESOPs. He regularly represents clients in transactions utilizing ESOPs to create liquidity or implement a business succession plan on a tax-advantaged basis and counsels clients in ESOP structures involving S-corporations and C-corporations. Mr. Gibson also represents ESOP-owned companies and trustees in sale transactions to third parties. He also advises clients regarding issues involved with management incentive plans incident to ESOP transactions and matters. Additionally, Mr. Gibson's practice includes company, trustee, and shareholder representation, and counseling companies and trustees regarding fiduciary duties, corporate governance and ERISA issues in connection with ESOP transactions. Mr. Gibson also assists individual clients with retirement, estate and income tax planning and has also assisted individual clients in tax controversies with both IRS and state taxing agencies. |
